Pagino Terms and Conditions of Service

Welcome to Pagino!
These Terms and Conditions of Service ("Terms") govern the access and use of the software as a service (SaaS) "Pagino" (the "Service"), provided by eDisplay srl, with registered office in Viale del Lavoro, 53, 08023 Fonni (NU), VAT number 01172340919 ("eDisplay", "we", "us", "our").
By accessing or using the Service, the user ("User", "you", "your") agrees to be bound by these Terms in their entirety. If you do not accept these Terms, you may not use the Service.
1. Service Description
Pagino is a software platform that allows users to create and customize email templates through the use of artificial intelligence ("AI") algorithms. The Service is accessible via the web and requires an active internet connection and a valid account.
2. "BETA" Service Status
The User expressly acknowledges and agrees that the Service is currently provided in a "Beta" version. This entails the following:
- "AS IS" and "AS AVAILABLE" Service: The Service is provided "as is" and "as available," without warranties of any kind, express or implied.
- Potential Errors and Bugs: The Service may contain bugs, errors, defects, or interruptions. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
- Changes to the Service: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part or feature thereof) with or without notice.
- No Guarantee on Results: The results generated by the AI may be inaccurate, incomplete, offensive, or not suitable for the desired purpose. The User is solely responsible for reviewing, validating, and using any generated content.
- Potential Data Loss: During the Beta phase, events may occur that result in the loss of data or content created by the User. It is recommended to keep backup copies of any important content.
3. Credits System
The use of the Service is based on a credit system ("Credits").
- Purchase: Credits must be purchased in advance by the User through the payment methods made available on the platform. The prices and packages of Credits may vary and are subject to change.
- Consumption of Credits: Credits are deducted from the User's balance for each operation performed within the platform that requires the use of computational resources or interaction with the AI.
FUNDAMENTAL RULE ON THE CONSUMPTION OF CREDITS
The User fully accepts and understands that Credits are deducted for each operation initiated, REGARDLESS OF THE OUTCOME OF THAT OPERATION. This includes, by way of example and not limitation, cases in which:
- The call to the artificial intelligence fails for technical reasons.
- The AI returns an error message.
- The result produced is unsatisfactory, incorrect, incomplete, or not desired by the User.
- The operation is interrupted by the User before its completion.
- Non-Refundability: Unless otherwise required by applicable law, purchased Credits are non-refundable, either in cash or in any other form, even in the event of non-use, suspension, or closure of the account.
- No Monetary Value: Credits have no monetary value, do not constitute a currency, and cannot be exchanged or transferred outside the Service.
4. Registration and Account Security
To use the Service, you must create an account. The User agrees to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the security of their password and account.
- Be solely responsible for all activities that occur under their account.
5. Intellectual Property
- Our Property: eDisplay srl and its licensors own all rights, titles, and interests in and to the Pagino Service, including software, logos, trademarks, user interface, and all related intellectual property rights.
- User's Property: The User retains the copyright on the original content they create through the Service ("Generated Content"). However, by using the Service, the User grants eDisplay a worldwide, non-exclusive, royalty-free, and transferable license to use, reproduce, distribute, and modify the Generated Content for the sole purpose of providing, maintaining, and improving the Service.
- Responsibility for Content: The User is solely responsible for the Generated Content and warrants that they own all necessary rights to create and use it, and that such content does not violate the rights of third parties (including copyright, trademarks, privacy) or any applicable law.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDISPLAY SRL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING INCORRECT OR INCOMPLETE CONTENT; (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
THE TOTAL LIABILITY OF EDISPLAY SRL, FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE, SHALL IN NO CASE EXCEED THE TOTAL AMOUNT PAID BY THE USER TO EDISPLAY SRL IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7. Changes to the Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. In the event of substantial changes, we will make every effort to provide at least 30 days' notice before the new terms take effect, via email or a notice on the platform. Your continued use of the Service after the changes take effect constitutes acceptance of the new Terms.
8. Termination
By the User: The User may stop using the Service and close their account at any time.
By eDisplay: We may suspend or terminate the User's access to the Service, with or without cause, with or without notice, with immediate effect, particularly in the event of a breach of these Terms.
All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Governing Law and Competent Court
These Terms shall be governed and interpreted in accordance with the laws of the Italian Republic. Any dispute arising from or in connection with these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the Court of Nuoro.
